Agreement for Healthcare Providers
Providers are the foundation of and purpose for the research conducted by KLAS, so KLAS allows Providers free or significantly discounted access to KLAS data.
This Subscriber Agreement is a legal agreement between your organization and KLAS and has one basic purpose: 1) to ensure that the research will continue to be funded, by limiting the provider-discount and provider-access only to true providers.
1. Definition of Provider. A healthcare provider (“Provider”) is person who works directly with patients (physician, nurse), or a person who is an employee or owner of a facility (IDN, hospital or clinic) that supplies healthcare directly to patients.
2. Distribution limited to Provider Organization. Providers may distribute Reports or Site information and share their data and content solely with members of the provider organization. Subscriber agrees not to share KLAS data with vendors or consulting groups, or distribute information derived from KLAS online without prior permission from KLAS.
3. Representation of Provider-Status. Subscriber warrants that Subscriber is a Provider, as defined in this Agreement.
4. Damages if Subscriber is not a Provider. If Subscriber is not a Provider, Subscriber agrees to pay for KLAS data at the appropriate vendor rate, as well as pay for any attorney’s fees and/or reasonable costs for investigation incurred by KLAS.
Agreement for Vendors, Consultants, Investment Firms, GPOs, etc.
This is a legal agreement between your organization, as a "Subscriber", and KLAS. KLAS distributes performance data related to healthcare software, equipment and professional services via written reports (“Reports”) and through online databases (“the Site”). KLAS makes data available to Subscribers who pay the applicable fees and agree to the following terms and conditions:
1. Access to the Site and Reports. You will have access to the Site and/or Reports according to the products purchased. Reports, the Site and data made available by KLAS may change from time to time at KLAS' sole discretion. You agree to pay all fees, charges, and taxes associated with access to KLAS data.
2. Confidentiality. You may distribute Reports or Site information and share their data solely with members of your own internal organization. Publications containing any KLAS data must comply with the KLAS Data Use Policy, which is available at www.KLASresearch.com. You many not share the Site or a Report with any other organization, except as allowed by the KLAD Data Use Policy or except with written permission from KLAS.
4. Publication of KLAS data. Subscribers who post on websites or otherwise publicize KLAS data in violation of the KLAS Data Use Policy and without permission from KLAS, or subscribers who give other companies access to KLAS data will be subject to paying the full subscriber fee for each entity that accesses the information.
5. Subscriber Representations. You represent and warrant to KLAS as follows:
(a) You have full power and authority to enter into this agreement; and
(b) You agree to indemnify and hold KLAS harmless from and against any and all actions, suits, losses and expenses (including attorneys' fees) that KLAS may incur or suffer in connection with any breach of your warranties, representations and duties of confidentiality herein.
6. No warranties by KLAS. KLAS publishes opinions and perception data, and KLAS does not warrant that they are error free. All data and reports are provided “as is,” and KLAS makes no warranties express or implied, with respect to the sites or the reports.
7. Agreement to Utah Jurisdiction. Should any dispute arise between the parties, Subscriber and KLAS agree that such dispute shall exclusively be filed in either federal or state court in Utah.
